Job description
Counsel and advise the Company on legal aspects of media and entertainment law, including but not limited to license agreements, production services, rights and clearances (including music licensing) and copyright law.Counsel and advise the Company on privacy and technology issues, including review and administration of the Company's and its affiliates' privacy policy, including compliance with applicable state and Federal laws and regulations.
Manage the legal operations of the Company, including (i) directing the administration of the Company's contracts review and approval program, including the management of the Company's contract process from initiation through execution, (ii) working directly with business units to negotiate, execute and monitor contracts, (iii) administering the Company's material contracts database and contracts template database, and (iv) developing and managing the Company's legal policies and procedures.
Participate in the management of the Company's intellectual property portfolio and monitor third-party infringements of the Company's IP portfolio.
Assist business units in obtaining and maintaining required governmental licenses, including alcoholic beverage licenses, in multiple jurisdictions.
Conduct merger and acquisition due diligence and participate in the negotiation and execution of merger and acquisition transaction agreements.
Provide strategic and practical legal advice to business units as the need arises.
Engage and supervise outside counsel as needed.
Perform other duties as assigned.
Education
Juris Doctorate (JD) degree from an American Bar Association accredited law school required
Experience
3+ years related experience in a law firm and/or corporate legal department
Knowledge, Skills and Abilities
Excellent interpersonal, written and verbal communication skills
Ability to identify and analyze complex legal issues
Demonstrated organizational and negotiating skills
Solid computer proficiency
Licenses / Certifications
Admission to Tennessee state bar (or admission to the state bar in another state and with the ability to register as an in-house counsel in the State of Tennessee) required
