Greenberg Traurig (GT), a global law firm, has an employment opportunity for an Attorney - Corporate Practice Group in our San Francisco office. Job Duties:

Represent companies in connection with corporate matters including M&A, capital markets and financing transactions, and advise China-based private companies with respect to their US in-bound, cross-border investment activities. Represent issuers, underwriters, agents and financial institutions with respect to public and private offerings of equity and/or debt securities. Negotiate and draft complex corporate transaction documents in connection with various types of securities and/or debt offerings pursuant to U.S. securities laws, including without limitation the Securities Act of 1933 and the Securities Exchange Act (SEA) of 1934. Advise private/public companies, private equity funds and financial institutions regarding M&A transactions; advise public companies in connection with U.S. exchange listing requirements; advise corporate clients regarding matters related to the Securities Act and the SEA; and advise public companies, including US-listed companies with China-based operations, regarding securities offerings, SEC reporting, compliance and corporate governance matters.

Requirements:

JD, LLM or foreign equivalent, and 1 year of experience in position offered or as JD-Law Clerk or Associate working in the area of Capital Markets.

Must have 1 year of experience in:
  • researching US securities law, specifically the Securities Act of 1933 and SEA of 1934, to prepare draft documents for senior attorneys;
  • drafting offering documents, transaction agreements and ancillary documents in connection with various types of securities and debt offerings pursuant to U.S. securities laws;
  • assisting underwriters, agents and financial institutions with respect to public and private offerings of equity and/or debt securities;
  • reviewing due diligence documents and coordinating with specialists and issuers regarding provisions of due diligence documents;
  • reviewing SEC reporting, compliance and corporate matters including 10-Ks, 10-Qs, 8-Ks, 20-Fs, 6-Ks and proxy statements; and
  • reviewing and researching capital market/SEC matters to ensure compliance with US exchange listing requirements, such as the listing rules of the NYSE and NASDAQ.
Must be admitted to practice law in the state of California.

Must be fluent in Mandarin (written, reading and spoken) to communicate and correspond with Chinese-based clients, review diligence documents written in Mandarin, and translate correspondence and communications from Mandarin to English as part of corporate work and negotiations.

Must travel domestically 6-12 times a year for approx. 2-4 days to visit GT offices and clients.

Must travel to China 1-2 times a year to meet with clients.

The annualized salary for this position is $370,000 - $375,000. Actual pay will be adjusted based on experience and other job-related factors permitted by law.
