Job summary
Amazon’s Risk and Compliance Services for API is seeking an experienced and driven governance/company secretariat professional to support our regulated financial services in the United States. The successful candidate will join a small high-performing team of governance subject matter experts who work with the Boards of Directors and Senior Management of various licensed entities to ensure they meet regulatory expectations.

Key job responsibilities
  • Assist the Head of Governance in delivering a professional and ‘best in class’ governance service, advising on a broad range of matters to support the Boards and Senior Management in effectively discharging their roles and responsibilities and compliance objectives.
  • Advise on, and ensure adherence to the RCS Governance Framework, including drafting and implementation of any relevant charters, policies and procedures.
  • Provide Board Secretarial support to the Boards and their committees; including managing meetings, preparing agendas and Board Packs.
  • Responsible for coordinating with internal stakeholders for inputs to Board and Committees Meetings.
  • Manage and review governance documents, including relevant charters, accountability matrices, terms of reference, policies, etc
  • Coordinate Board training and support in the on-boarding of newly appointed Board members.
  • Provide appropriate governance expertise in ad hoc projects (largely with Legal/Compliance/Risk Management functions).
  • Support the oversight of Governance-related KPIs, including presenting these metrics to Senior Leadership during Board and Management meetings.
  • Professionally qualified Chartered Secretary, Governance Professional or equivalent qualification.
