POSITION SUMMARY – Principal Attorney (Corp & Securities Attorney)
The Corporate & Securities Attorney is part of the Sustainability & Governance team and is instrumental in managing and supporting our securities, general corporate, transactional, and corporate governance matters under the supervision of Vice President, Corporate Legal and Risk, working closely with members of the Corporate Secretary team.
DUTIES AND RESPONSIBILITIES:
· Strong working knowledge of U.S. securities laws and regulations and the ability to quickly learn, interpret and apply changes in such laws and regulations and policies.
· Keeping current on applicable securities laws, regulations, and enforcement actions and corporate governance best practices to identify emerging trends and risks.
· Advising on disclosure matters, including press releases, earnings materials, investor presentations, and other external communications.
· Provide legal support to the Board of Directors and Board Committees on corporate governance matters.
· Advising on corporate and securities law matters arising under employee benefit and executive compensation plans or arrangements and non-employee director compensation.
· Advising on corporate governance matters, including preparing corporate documents such as board and committee reports, presentations, minutes, resolutions, and certificates.
· Leading preparations and the planning of annual stockholder meeting, including preparation of proxy statements and related materials.
· Managing the Company’s internal equity holder data site.
· Serve as primary contact for Company’s transfer agent and provide legal support in connection with issued and outstanding shares and requests to transfer shares.
· Evaluate legal exposure, manage risk, and interpret and apply laws, regulations, case law, statues, and policies to provide expert advice.
· Legal support for the Company’s Enterprise Risk Management program.
· Counsel on internal corporate governance and subsidiary matters, including parent and subsidiary corporate records, creation and dissolution of corporate entities, and corporate authority questions
· Legal support for internal and external corporate transactions.
· Managing complex and sensitive projects with cross-functional teams.
· Occasionally monitoring or supporting on claims and litigation matters, including preparation of required internal or external reports and/or required disclosures and evaluating outside counsel and vendors, reviewing invoices, and monitoring outside counsel spend.
· Assist with various equity and debt financings and provide legal support to the Treasury function; and
· Advising on and supporting the company’s response to day-to-day legal issues as requested.

· Sound judgment and demonstrated ability to make and communicate reasoned recommendations persuasively.

· Demonstrated experience in developing creative legal strategies to accomplish client goals.
· Proficiency in the Microsoft Office Suite, Outlook, Word, Excel, SharePoint, EDGAR.
· Excellent drafting, editing, negotiation, interpersonal and communication skills, with a thorough level of attention to detail; and
· Strong leadership and management skills and experience.
Required Skills / Knowledge
· Juris doctorate from a recognized law school
· Active bar membership
· 4-6 years of relevant legal experience in practicing securities and corporate governance law in a large law firm or corporate in-house department

Job Type: Full-time
Pay: $170,000.00 - $195,000.00 per year
