Summary: Assists senior attorneys in the General Counsel Department by reviewing contracts and preparing major solicitation documents. Works closely with outside counsel on pre-trial discovery and attends depositions. Reviews all manner of contracts; drafts notices, amendments, and other legal documents as needed. Collects and maintains insurance certificates. Supports the corporate secretarial function.

DESCRIPTION OF DUTIES/ESSENTIAL FUNCTIONS:

Corporate Governance and Administration

  • Assists with preparing corporate meeting minutes, drafting board and committee resolutions and supporting the secretariat function of the corporation.
  • Evaluates requests under applicable law, including the Texas Public Information Act.
  • Ensures the timely production of documents and prepares third-party notice letters.
  • Analyzes official rulings from the Texas Attorney General’s office and responds to such rulings with records as may be required.
  • Works with the Public Policy Department to review existing, as well as draft new corporate policies and procedures.

Procurement, Purchasing and Contracts

  • Assists with preparing solicitation documents, including RFPs, RFQs, and major invitations to bid for service contracts.
  • Works with corporate departments on preparing construction solicitations for capital projects.
  • Analyzes transactional documents and leases pertaining to the digital automation system and cell towers at the facilities.
  • Negotiates contract terms and conditions on various contractual matters with outside attorneys.
  • Reviews contracts, licenses, and other legal documents.
  • Drafts and edits contract renewals, termination notices, and other legal correspondence.
  • Drafts assignments for existing agreements.
  • Prepares and negotiates confidentiality agreements.
  • Assists senior attorneys with major contracts and communicates legal advice to staff.
  • Performs general legal research as needed.
  • Works with senior attorneys on legal matters and special projects.

Litigation Support and Risk Management

  • Works with outside counsel on all aspects of pre-trial discovery, including coordinating responses to interrogatories and requests for production, as well as attending depositions.
  • Assists with claims management.
  • Reviews daily incident reports.
  • Works with the corporate insurance broker on insurance placement.

Human Resources

  • Conducts team member training sessions to address common legal issues and requirements.
  • Assists the Human Resources Department in responding to Equal Employment Opportunity claims.
  • Serves on corporate advisory committees as determined by the General Counsel.

Intellectual Property

  • Works with the Marketing team and other departments to research possible trademarks and branding matters.
  • Assists with intellectual property licensing, and related matters.
  • Compiles and updates an intellectual property database of all corporate trademarks and intellectual property licenses.
  • Supports film and television production by providing legal counsel and reviewing/drafting releases, waivers, and licenses.

EDUCATION AND/OR EXPERIENCE:

  • Bachelor’s degree in Science or Arts (B.S. or B.A.) from an accredited college or university.
  • Jurisprudence Doctorate (J.D.) from an accredited law school.
  • Admission to and good standing with the State Bar of Texas.
  • Four to seven (4-7) years of prior experience in the practice of law with an emphasis on prior corporate or government experience inclusive of insurance, risk management, construction, procurement or contractual matters.

Knowledge, Skills and Abilities:

  • Strong written and oral communication skills, grammar, punctuation, and vocabulary.
  • Contract drafting experience.
  • Interpersonal skills and ability to support and encourage others.
  • Ability to take direction and function in a high-volume work environment.

Job Type: Full-time

Pay: $90,000.00 - $110,000.00 per year
