We are searching for an entry-level associate to join our Boston office to support our Corporate practice. The ideal candidate will have a strong desire to work with various types of funds, including growth equity, seed and venture capital funds, as well as start-ups and emerging growth companies. We are looking for team oriented and collaborative attorneys that are excited about working with clients in the start-up and venture capital ecosystem.

Our Fund practice focuses on the structuring, formation, organization and operation of venture capital, growth and other private equity funds, as well as their general partner, management company and related entities. Our Corporate practice works with technology companies in a variety of fields including consumer products and services, life sciences, mobile and social technologies, software and SaaS, hardware, and clean technologies, and also advises funds investing in those businesses.

Associates can expect to have client contact early in their career, handle several matters for various clients concurrently and to become a key, client facing member of a team that represents a predominant share of the leading growth equity and venture capital firms, both in the U.S. and internationally.

Job Requirements:

• Advise entrepreneurs as they form businesses, counseling growing companies and investors through rounds of financing, provide general corporate, operations, employment and intellectual property guidance, and execute M&A transactions
• Advising funds in all stages of their operations, including preparing offering materials; drafting partnership, limited liability company and other governing agreements
• Negotiating with investors; and counseling fund managers on securities law and other regulatory matters and on general fund operations, including investments

Job Requirements

• JD 2018 - 2020
• Previous large law firm experience is a plus
• High level of academic achievement from a nationally recognized law school
