Circa is looking to fill a Corporate Counsel role in its growing legal team! This individual will play a key role in creating and negotiating agreements for software licenses, consulting services, vendors, and partners. You will also be providing general advisory support on intellectual property matters, privacy and security, compliance, employment law, and related issues. About You

You're an independent thinker, with strong analytic skills and business acumen. You're an effective communicator, capable of negotiating with anyone. You're a motivated self-starter, with the ability to shift priorities in a fast-paced environment while maintaining a high level of detail. You are looking for a growth opportunity to take the next step in your career and have a goal of being General Counsel. You are curious and thoroughly enjoy reading and learning new things.

You have demonstrated achievement from an accredited law school and have been admitted to a state bar. You also have 3 or more years of experience as corporate counsel or in a similar position. You have a demonstrated ability to handle transactional legal work and you have some experience with SaaS and software agreements. You may also have experience working at a SaaS organization or in a technology-related practice at a reputable law firm.

About the Position

You will negotiate SaaS, software licensing, services and vendor contracts, NDAs, and privacy and security, or related legal agreements. You'll also work closely with the sales team to ensure transactions help achieve business goals within acceptable risk tolerances and follow corporate guidelines. We believe in continuous improvement and you will have the opportunity to both suggest and implement changes to processes, documents, and more - bring your creativity and your logic!

You will work cross-functionally with multiple departments and with roles at all levels to provide general support on legal issues. You'll also anticipate challenges, identify solutions, and initiate actions to minimize risk and resolve issues in accordance with company philosophy and policies.

Our Legal Team:

• The team currently consists of one lawyer and a lot of coffee
• We use SalesForce.com, AdobeSign, and Microsoft 365 / Teams

Day in the Life

Most days will involve:

• Reviewing, negotiating, signing, and auditing contracts
• Consulting with internal and external stakeholders
• Assessing and mitigating organizational risk
• Providing guidance on best practices for employee relations, data protection, or other legal matters
• Taking your role seriously, but not yourself - humor is important!

Additional responsibilities may include:

• Meeting with leaders to discuss trends in contract change requests
• Developing new templates and policies for cybersecurity management
• Collaborating with Security Council on best practices and roadmap
• Assisting with other legal, compliance or risk-management related projects as needed
