Summary:
Responsibilities:
- Serve as legal advisor on commercial transactions of all levels of complexity and importance, providing timely and responsive guidance and participation in decision-making and implementation. Provide legal thought leadership and strategic advice to operational groups and management including implementing policies, procedures and best practices as a complement to the organization’s core values.
- Serve as legal counsel for the logistics and supply chain functions.
- Draft, review, interpret and negotiate a wide range of general commercial and trading contracts for sales (including international sales contracts), warehouses, depots and terminals, co-packers or toll processors, procurement or input supply agreements, master services agreements and SOWs for IT vendors.
- Develop and contribute standard contract templates and identify areas of continuous improvement for the contract management process and other company processes.
- Draft, review and negotiate non-disclosure or other agreements for the protection of confidential, proprietary and sensitive information.
- Advise on compliance for data protection, privacy and security; collaborate with IT leads on policies and procedures and strategic goals.
- Counsel business units and functional areas (such as Finance, Tax, Insurance and Treasury) on legal implications of commercial, operational and other activities and provide legal advice that aligns with business goals.
- Perform other related duties as assigned.
Education and/or Experience Requirements:
- Juris Doctorate from an ABA-accredited law school with at least 3 years of legal practice experience in commercial transactions, contract drafting, review and negotiation. In-house legal experience is preferred.
- Bar qualification in Kansas, or ability to become licensed to practice law in Kansas.
- An excellent understanding of complex commercial contracts, ethics and compliance matters, and a broad range of experience in other legal subject matter areas.
- Sound business judgment, clear communication skills and strategic thinking with a consultative approach. Flexibility, initiative and willingness to work on a broad variety of legal matters.
- Hardworking, highly motivated, self-disciplined and able to manage and prioritize numerous projects and teams simultaneously under deadline pressure.
- Excellent interpersonal skills, highly collaborative and utilizing a team-oriented approach.
- Willingness to work independently with minimal supervision and direction while keeping others appropriately informed.
- Ability to lead and provide directions for decision-making while gaining the trust of the business and functional partners.
- Experience with agricultural, mining, manufacturing or chemical industry and international business is a plus.
- Some travel may be required.
