POSITION SUMMARY
The General Counsel is an enabling role, supporting the achievement of the organizations’ goals in the most responsible and compliant way. The General Counsel is responsible for overseeing, planning, organizing and directing the legal staff and legal work of the organizations and providing legal advice, counsel and representation to internal stakeholders and the Boards of Directors. The General Counsel is responsible for budgeting and managing the legal costs to the organizations, optimizing internal legal resources and reducing external costs relating to legal consulting and representation relationships. It is critical that the General Counsel identify internal and external resources to develop the legal department, advancing internal tactical knowledge in areas of importance and relevance to the organizations. The General Counsel provides executive management with effective advice on the organizations’ compliance strategies and implementation, manages the legal functions, and obtains and oversees the work of outside counsel, when necessary. The General Counsel is a dedicated and experienced professional who embraces the identity of the legal and functions as enabling the delivery of the organizations’ shared mission.
This position oversees the provision of services in the following areas:
- All Internal and External Enterprise Legal Matters and Activities
- Non-clinical Risk Management Activities
- Insurance management
REPORTING RELATIONSHIPS
General Counsel reports to the SVP of Enterprise Integrity, Government Relations and Governance, Executive Counsel and Chief Governance Officer. This position supervises Associate counsel and Administrative Assistant.
Requirements:JOB DUTIES AND ESSENTIAL FUNCTIONS
While living and demonstrating our Core Values, the General Counsel will:
- Direct and oversee all Enterprise legal matters
- Oversee and ensure compliance with Chapter 5A of the Health Center Program Compliance Manual then in effect issued by HRSA’s Bureau of Primary Health Care to maintain TWCCH’s accreditation as a Look-Alike and promote readiness for a new access point FQHC designation
- Provide continuing counsel to all departments across the Enterprise on legal implications of all matters
- Assess the merits of court cases filed against or on behalf of the Enterprise, preemptively working with the appropriate executive(s) and Executive Committees of the Board to define the most reasonable and economically responsible strategic defense
- Approve all settlements of disputes where warranted, involving the President and CEO and, when necessary or appropriate, the Boards of Directors
- Structure, manage and hold accountable the company’s internal legal function and staff
- Monitor the legal landscape, share new developments across departments and strategize the optimal Enterprise position as appropriate
- Oversee the selection, retention, management and evaluation of all outside counsel within budget
- Draft and review all Enterprise contracts, including third-party vendor agreements, affiliation agreements, MOUs, grant agreements, leases, employment agreements, consulting agreements, engagement letters and other agreements, ensuring fair market value for all transactions and assume accountability for the enforcement of their terms
- Obtain and maintain a strong working knowledge of the Company’s business, scientific capabilities, and key strategic business objectives
- Develop internal auditing paradigm and oversee implementation to ensure Enterprise compliance with contract terms
- Oversee all real estate matters (such as leases, zoning compliance, etc.)
- Identify, track, and report on key departmental and organizational balanced scorecard metrics
- Work closely with the Chief Financial Officer on the organizational budget and oversee Board approvals
- Coordinate with management in the establishment of policies and procedures addressing areas of significant legal, regulatory or other compliance risk impacting all operations of TWCGME, TWCCH and all other affiliated organizations
- Assist in the development of top Legal team performance and integrity to promote the Mission, Vision and Core Values at the highest level
- Oversee and implement an employment law compliance training program for supervisors and leadership and development program for all staff
- Oversee the Anonymous Reporting System and act as a channel of communication to receive and direct compliance issues to appropriate resources for investigation and resolution; ensure completion of RCAs and PDSAs to mitigate future risk and to promote organizational learning
- Provide reports on a regular basis, and as directed or requested, to keep the appropriate Board, Committee and/or executive team informed of operation and progress of compliance efforts
- Develop annual departmental budgets that support departmental functionality while proactively identifying reasonable reserves for unforeseen legal or other costs
- Support the Enterprise CFO in the implementation of a high-integrity quarterly Form 990 work schedule to ensure early departmental engagement to achieve timely and accurate entries by all departments
- Synthesize and coordinate assigned departmental functions around organizational and departmental rocks and individual PACE Card Metrics, ultimately linking to the Enterprise Balanced Scorecard
- Hold up the mirror regularly to ensure that the Enterprise is not the “Emperor without Clothes”
- Lead, manage and hold direct reports accountable for achieving agreed-upon commitments
- Identify and timely resolve issues, barriers, challenges and problems that threaten Enterprise Integrity
- Go to the Gemba to observe, test and validate operational functions
- Optimize learning and the efficiency and effectiveness of assigned departments to contribute to the Enterprise priority of becoming an Employer of Choice
- Unapologetically demand internal and external alignment with our mission, vision and core values, and develop an outcomes-oriented culture to optimize mission

REQUIRED MINIMUM QUALIFICATIONS and CHARACTERISTICS
- Possesses a JD degree from an accredited law school
- Is a current member in good standing of the Pennsylvania Bar
- Has 10+ years’ experience as an actively licensed and practicing attorney
- Minimum 10+ years of General Counsel litigation experience; health care experience preferred
- Strong computer aptitude and proficiency, specifically with MS Office applications and the Google platform
- Commitment to the mission, vision and objectives of the Enterprise
- Meaningful experience in a nonprofit environment, including successfully collaborating with volunteer Boards of Directors
- Experience in developing partnerships, building teams and managing conflict
- Ability to command the confidence and respect of stakeholders
- Ability to handle detailed, complex concepts/problems and make decisions regarding legal issues
- Ability to prepare legal documents with minimum supervision
- Ability to cultivate and maintain strong relationships with staff, outside agencies, government entities and other stakeholders
- Ability to lead, manage and oversee financial policies and organizational budgets
