This position exists to provide overall organization and management to the legal department. Responsibilities include contract management, legal research, management and organization of legal documents, interaction and support of other members reporting to the legal department, implementing legal department initiatives, working on special projects and other operational support for the legal function of the organization. Within this team environment, this position will serve as the resource for questions, follow up, and process management.
- Assist General Counsel with key legal department initiatives to support organization compliance with laws, regulations and best practices
- Responsible for review, revising, drafting, and analysis of standard and complex agreements, including Service Agreements, Independent Contractor Agreements, Professional Services Agreements, Confidentiality Agreements, Consulting Agreements and Scopes of Work. Contract administrator for the contract management software.
- Administrative duties may include filing, department organization, scheduling meetings, managing calendars, distributing mail, and coding and maintaining the legal department invoices.
- Assists with litigation management including notifications and periodic status updates with insurance carrier, maintain claims status spreadsheet, implements legal hold process, analyze documents for potential discovery, acts as liaison between the legal department and Outside Counsel in litigation matters, and coordinates production and organization of documents with outside counsel in connection with litigation.
- Support post-closing mergers and acquisitions integration and administration of the acquired subsidiaries, including organization of due diligence reviews and closing mechanics.
- Collaborates with outside counsel in maintaining organization’s trademark registrations including trademark filings, maintenance filings, renewal instructions, extension of time filings, and declarations of use. Conduct online trademark searches and other investigatory functions.
- Independently research, investigate, draft, prepare, file, organize and distribute legal documents.

Operate as liaison between organization departments and the legal department.

Act as an internal resource on issues or questions.
Required Qualifications:
- Bachelor’s degree or Paralegal certificate (or in progress or 5+ years legal experience in lieu of degree or certificate)
- 2 years’ experience as a Paralegal or working in in-house legal department, law firm, or similar environment.
Preferred Qualifications:
- Experience in a Health Care setting
- Risk Management experience
- Regulatory reporting experience
