Job description
JOB SUMMARY
This position will provide high-level administrative support to the SVP, General Counsel and the legal department with regard to executive and administrative functions with the overall goal of enhancing office effectiveness. The Paralegal will provide contract-related support through all phases of contract request, review, approval and closeout, along with governance support, training and risk management support. The Paralegal will use the vendor-supplied contract management software program to ensure streamlined contract development from negotiation through execution, supply timely notices as required by each contract and accurately and time execute termination and renewal procedures. Paralegal will work closely with General Counsel but will also work independently with end-users through The Wright center organizations as directed. Paralegal will also generate reports for executive management, end users and independent auditors upon request. Paralegal shall generate contracts, letters and legal documents produced by various departments and third parties for review and distribution. This position must be able to work confidentially and independently while carrying out numerous assignments and act as a liaison with internal clients and departments as well as patients, valued partners and the community as a whole. This position is entrusted to use discretion and independent judgement with respect to organizational work on behalf of and consistent with the authority delegated by the General Counsel.
REPORTING RELATIONSHIPS
The position reports to the SVP of Enterprise Integrity, Government Relations and Governance, Executive Counsel and Chief Governance Officer.
Requirements:ESSENTIAL JOB DUTIES
- Interprets and accurately enters contract data into contract management program (currently IntelliSoft)
- Accurately maintains contract database and timely notifies General Counsel of expiring terms and need for contract renewals
- Technical management of the contract lifecycle process from initial upload through full execution
- Manages the Request for Proposal (RFP) process
- Ensures that uploaded contract review requests are supported by:
- the appropriate number of bids through the RFP process
- all appropriate departmental approvals, and
- an adequate and accurate summary of key contract provisions
- Receives draft contracts from various departments, and reviews the purpose of the contract and any information that may be involved with that department.
- Collaborates with General Counsel on any contractual issues with vendors
- Reviews and edits supplier agreements for compliance with Company requirements
- Prepares draft language to address deficiencies in agreements
- Facilitates company business approval and processing of supplier agreements
- Works with in-house attorneys and departments on intellectual property issues
- Identifies intellectual property concerns in sales and procurement agreements
- Researches information with the Secretaries of State, as needed
- Facilitates training and educates internal clients on navigating company processes on use of Contract Management System
- Develops tracking systems for action items and other areas as necessary
- Generates reports for end-users, legal professionals, and independent auditors upon request
- Documents all contract administration policies, procedures and work instructions. Identifies efficiency opportunities and drives process improvement changes
- Researches and analyzes law sources such as statutes, recorded judicial decisions, legal articles, treaties, constitutions, and legal codes
- Accurately drafts legal memoranda and other documents as requested
- Prepares and reviews legal documents such as contracts, initial and amended articles of incorporation, bylaws, etc
- Supports compliance efforts, investigations and root cause analyses, administrative proceedings and litigation by investigating facts and researching applicable law to assist General Counsel as directed
- Performs other clerical duties such as scheduling appointments, providing information to callers, taking dictation and recording minutes, composing and typing routine correspondence, and reading and routing incoming mail
- Support intellectual property copyright and patent activities and filings
- Files correspondence and legal documents in office filing system
- Ensures proper indexing and filing of original legal documents
- Travel is primarily local during the business day, although some out-of-the-area and overnight travel may be expected.
- Review, prioritize and prepare incoming and outgoing correspondence, along with other mail and communications, on behalf of General Counsel and at times other Executives.
- Work closely with the entire legal team to coordinate schedules and projects.
- Project management for legal counsel and the legal department.
- Work with direct reports of the General Counsel to ensure deliverables are met in a timely manner.
- Redirect meetings to other Senior and Executive Staff Members as necessary.
- Incorporate optimal processes and procedures to streamline the work of the legal department and create efficiencies.

Education/Experience/Qualifications
- Bachelor’s degree required and paralegal certificate preferred
- Minimum five (5) years of experience in legal field drafting, reviewing and revising contracts, such as purchase agreements, employment agreements, software licenses, supply agreements, services agreements, non-disclosure agreements or memorandums of understanding
- Must be proficient in the Microsoft Suite of applications (particularly Word, Excel, and PowerPoint) and the Google Suite of applications (including gmail, calendar, forms, classroom, drive, etc.)
- Continuing education coursework in related field preferred
- Must:
- be proficient at recognizing and responding to priorities,
- multi-task expertly,
- have strong organizational skills, and
- be able to work well under deadlines while maintaining high attention to detail and accuracy
- Must have strong communication skills (verbal and written) with the ability to converse fluently across all levels
- Must handle confidential data with maturity and integrity and have a cooperative, positive, team oriented attitude
- Must be patient-centered
Certificates/Licenses/Registrations
- Paralegal Certificate preferred
REQUIRED QUALIFICATIONS:
- Bachelor's degree or five years of related experience and/or training; or equivalent combination of education and experience.
- Excellent professional skills along with multi-tasking abilities
- Strong analytical skills, organizational and time management skills
- Excellent interpersonal, written and verbal communication skills
- Possess excellent judgment and the ability to communicate with all levels of the organization including Executive Senior Staff and the Board of Directors and outside community partners
- Excellent computer skills, as well as proficiency with Microsoft Word, Excel and Power Point are required
- Willingness to work a flexible schedule
