Summary:
The Chief Compliance Officer reports to the Chief Legal Officer and is responsible for providing counsel and guidance related to the development, refinement, communication and oversight of all facets of compliance globally. Partner with HR and IT to create a world class ethics and compliance culture, with programs, policies, and procedures to drive compliance with laws and regulations. Advise on a wide range of topics including conflicts of interest, anti-bribery, human rights, trade and data privacy.
Duties and Responsibilities:
- Develops, initiates, maintains, and revises policies and procedures for the general operation of the global compliance program and its related activities to help prevent illegal, unethical, or improper conduct.
- Manages day-to-day operation of the global ethics and compliance program, global data privacy functions and enterprise risk management.
- Lead and manage company-wide enterprise risk assessment program
- Periodically reviews, benchmarks, and updates the Company’s Code of Conduct to ensure continuing currency and relevance.
- Collaborates with other departments (e.g., Internal Audit, Human Resources, Information Security) to direct compliance issues to appropriate existing channels for investigation and resolution.
- Consults with attorneys on a global basis to resolve difficult legal compliance issues.
- Responds to alleged employee misconduct received via the ethics hotline and other channels, by following internal investigation protocols and guidance.
- Acts to ensure that compliance issues/concerns within the Company are being appropriately evaluated, investigated and resolved.
- Identifies potential areas of compliance vulnerability and risk; develops/implements corrective action plans for resolution of problematic issues, and provides general guidance on how to avoid or deal with similar situations in the future.
- Provides reports on a regular basis to keep the Board of Directors and senior management informed of the operation and progress of compliance efforts.
- Institutes and maintains an effective compliance communication program for the organization, including promoting (a) use of the compliance hotline; (b) heightened awareness of the Code of Conduct, and (c) understanding of new and existing compliance issues and related policies and procedures.
- Develops an effective compliance training program for all employees and tracks completion for reporting requirements
- Monitors the performance of the ethics and compliance program and related activities on a continuing basis, taking appropriate steps to improve its effectiveness
- Manages systems to ensure compliance with anti-bribery/anti-corruption and trade sanctions regulations, and counsels the business on such requirements
- Lead and manage global compliance team
Minimum Qualifications
: (To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.)
- JD or equivalent degree from an accredited university
- 10 years of experience in practice of law and/or ethics and compliance roles
- Compliance experience at a publicly traded company with global operations
- Domain expertise in some of the following: human rights laws, import regulations and trade sanctions, data privacy laws, and anti-bribery law
- Strong research, writing, analytical and oral communication skills
- Sound judgment, problem-solving and client management skills
- Ability to work independently, as well as in a team environment
- Ability to be flexible and adapt to a dynamic workload
- Strong organizational skills and focus on sustainable and efficient processes
- Strong sense of integrity and appreciation for confidentiality issues
