CommScope is looking to add a Director, Board, and Governance to join our team. This is a remote role, which will allow you to work from anywhere in the US, provided you are open to travel as needed.


How You'll Help Us Connect the World.

Here, you will report to our Deputy General Counsel and will work with the Chief Legal Officer, Deputy General Counsel and Vice President & Associate General Counsel, Corporate & Securities, on corporate governance and board matters. This person will also have responsibility for the maintenance of certain corporate subsidiaries. In addition to the global Law Department members, this role will collaborate closely with other company departments, members of the Executive Leadership Team, and outside counsel/advisors. You will make an impact by...

  • Monitoring corporate governance standard methodologies for the board and/or its committees and supporting changes necessary to align with changing regulatory and other requirements.
  • Providing support for corporate governance matters, including assistance with Nasdaq matters and preparation, administration and maintenance of corporate governance policies and charters.
  • Preparing agendas for board and committee meetings.
  • Collaborating with key teams and driving/setting clear expectations and timetables for deliverables.
  • Reviewing, compiling, and distributing board and committee materials.
  • Calendaring meetings, deadlines, and other matters for the board and its committees.
  • Handling the logistics of live board meetings or as needed, scheduling and running virtual meetings.
  • Facilitating and managing the use of Nasdaq’s BoardVantage (a comprehensive board portal platform), which includes maintaining records of the materials provided to the board and its committees.
  • Drafting minutes of meetings and unanimous written consents for the board and its committees.
  • Facilitating director education and board and committee assessments.
  • Preparing and coordinating D&O Questionnaires.
  • Supporting the planning of and logistics for the company’s Annual General Meeting, including coordinating with vendors regarding the distribution of proxy statements and voting tabulation.
  • Assisting in the drafting of the company’s proxy statement.
  • Preparing and filing Section 16 reports (Forms 3, 4, and 5), including tracking beneficial ownership of directors and executive officers.
  • Assisting with the onboarding/offboarding of executive officers and members of the board of directors.
  • Assisting with legal entity maintenance, as requested.


Required Qualifications for Consideration:

  • A completed Bachelor's Degree with 5+ years of corporate secretarial and governance experience in a public company.
  • Outstanding interpersonal skills – verbal and written – able to capture relevant information and optimally document and articulate findings.
  • Proven ability to work independently, prioritize workload, and display high-level organizational skills.
  • Ability to remain calm in a fast-paced environment and to balance competing priorities.
  • Skilled in problem-solving and analytical reasoning.
  • Strong office technology skills and ability to quickly learn new technology.
  • Ability to read and understand legal documents.
