YOUR ROLE

We are seeking an attorney with 4 plus years of experience in insurance regulatory governance and the drafting, reviewing and negotiation of commercial contracts. In this role, you will have a high level of responsibility for spotting issues regarding critical elements of a variety of contracts and assisting the team in their resolution.

You will have a background of increasing responsibility in insurance regulatory governance and transactional law, with particular emphasis on one or more of the following areas: purchase and sale transactions, commercial financing, commercial contracts and general corporate representation. Exceptional candidates will have some experience with the Insurance Holding Company Act, ORSA, ERM and CGAD requirements

You will work closely with our leadership. We are in a growth stage and looking for a legal generalist to tackle everything from contract reviews to streamlining our processes and expanding our legal bench. Leveraging both breadth and depth of experience at a law firm and/or as in-house counsel, you will lead the drafting, revision, evaluation, and negotiation of agreements.

WHAT YOU WILL BE DOING

  • Draft, review, and negotiate various commercial agreements including services, marketing, non-disclosure agreements and other go to market agreements
  • Update standard commercial agreements, privacy policies, terms of use and employee agreements
  • Coordinate with other internal functions to ensure internal business alignment and compliance with applicable laws, rules and regulations
  • Collaborate with Compliance Officer to develop compliance policies and investigate compliance concerns
  • Collaborate and coordinate legal and compliance review and filing of ERM and ORSA reports
  • Assist in the development and implementation of process improvement initiatives
  • Advise management on various other strategies including the protection of intellectual property, insurance requirements and establishing governance policies

MUST HAVE / WHAT YOU BRING

  • JD degree from an accredited law school
  • 4-7 years of complex Commercial transactions experience
  • 4 or more years of relevant legal experience at a top national law firm and/or in-house legal department
  • Strong written and oral communications skills
  • Proven ability to proactively, efficiently and accurately assess legal business risks in a fast-paced environment
  • Self-starter with strong work ethic
  • Executive presence
  • Ability to travel 10% to our corporate office in Richmond, VA
