Job description
Awardco is an employee rewards and recognition company whose vision and innovative SaaS platform are reshaping an industry. We've been recognized extensively for our extraordinary growth, including multiple appearances on the Inc. 500 and Deloitte Technology Fast 500. Our recent Series A financing, which marked the largest Series A round in HR SaaS history, has fueled even more growth, including a recent expansion to new headquarters in Lindon, Utah. We are looking for talented and hard-working individuals that want to be part of this exciting journey.
To build our lean legal department, we are seeking a skilled transactional attorney to play a critical role in all legal aspects of SaaS sales transactions. This position will initially report directly to our General Counsel and is open to attorneys of all experience levels who satisfy the requirements outlined below, whether more seasoned counsel willing to lay the groundwork with ambitions to later lead a tech-transactions team as Awardco continues to grow, or more junior counsel with 5 years of experience looking to be an early and integral member of the tech-transactions team, or somewhere in between.
What you will do:
- Review, draft, analyze, advise on, and negotiate a high volume of technology-related agreements for B2B sales of Awardco's cloud-based (SaaS) web platform, including master subscription/service agreements (MSAs), SaaS agreements, service level agreements (SLAs), statements of work (SOWs), order forms, data privacy/protection agreements (DPAs), cybersecurity agreements, and related ancillary agreements.
- Coordinate and collaborate with all Awardco departments on all legal aspects of SaaS sales transactions, with particular emphasis working hand-in-hand with our Sales, Information Security (InfoSec), and Finance teams on a daily basis to drive transactions to completion while managing risk and maintaining compliance. Assist our Request for Proposal (RFP) team in all legal aspects of Awardco's responses/proposals for prospective enterprise clients.
- Serve as a trusted resource and positive deal closer for the Awardco Sales department, explaining to sales reps and sales leadership the issues and risks presented in objectionable redlines received, identifying and advising on alternatives, strategizing solutions, overcoming obstacles, and joining calls/virtual meetings to lead legal negotiations to successful resolution.
- For SaaS sales transactions, maintain and improve Awardco's standard form agreements, build and manage a repository of pre-approved fallback provisions for legal negotiations, develop and enforce contracting policies and procedures (e.g., internal approval requirements for non-standard terms), and implement and refine Awardco's contracting process to streamline workflow and optimize time to close.
- Stay current on industry standards for technology-related agreements for B2B SaaS and relevant laws and regulations, including cybersecurity requirements as well as data privacy laws and regulations in domestic and applicable international jurisdictions.
- Manage relationships with outside counsel and outside advisors where applicable to SaaS sales transactions, including data privacy counsel, cybersecurity advisors, and liability insurers/brokers.
- Design and deliver internal legal trainings related to SaaS sales transactions, advising on relevant legal issues and risks, contracting policies and procedures, approval processes, etc.
- Assist as needed on other legal matters dictated by business needs.
What you will bring:
- J.D. from a law school accredited by the ABA.
- Licensed to practice law and in good standing in one or more U.S. states.
- 5+ years of experience, either at a reputable law firm serving technology-based businesses or in-house at a technology or enterprise SaaS company (or a combination of both), heavily engaged in reviewing, drafting, analyzing, advising on, and negotiating technology-related agreements, preferably for B2B SaaS transactions.
- Excellent contract drafting, analytical, and critical thinking skills. Keen understanding of key contract provisions for technology-related agreements and the give-and-take nuances of negotiating such provisions, including Limitations of Liability, Indemnification, Representations & Warranties, Intellectual Property Rights, and Data Security.
- Maturity, poise, and a high level of comfort leading contract negotiations on calls/virtual meetings opposite executive leadership and legal counsel for Awardco customers who range from Fortune 500 and other large enterprises down to mid-market and SMBs. Strong business acumen, sound business judgment, and the ability to balance risk and compliance to reach a mutually acceptable agreement.
- Calm under fire as the primary legal contact for technology-related transactions in a cross-functional, fast-paced environment with quotas and tight deadlines. Strong team player with a positive attitude.
- Demonstrated ability to explain complex legal issues in a clear and concise manner and provide succinct, practical, and results-oriented legal advice.
- Extremely well-organized and detail-oriented with the proven ability to adapt, prioritize, plan, and successfully manage a high volume of deals with changing or competing priorities. Independent and proactive style of working combined with a high level of self-motivation, confidence, and resourcefulness.
- Candidates who lack deep expertise in data privacy laws and regulations, such as GDPR and CPRA, but have extremely strong experience with software licensing and/or SaaS subscription aspects of technology-related agreements (preferably for B2B SaaS) are nonetheless encouraged to apply. The former is a plus. The latter is an absolute must.
Why join Awardco:
