Job Description:
Responsible for providing legal advice and counsel to the Federal Home Loan Bank of San Francisco (“Bank”) on a wide variety of corporate banking and Federal Home Loan Bank System (“System”) issues, reporting to and supporting senior counsel in the Legal Department and working with and supporting other members of the Legal Department and other business units.
Primary Responsibilities:
- Identify and address legal issues relating to the Bank’s business and operations; recommend resolutions or alternative approaches and courses of action; and provide legal counsel and support to other members of the Legal Department and internal Bank clients, including Senior Management/Leadership Team of the Bank regarding complex legal issues affecting the Bank.
- Represent and advocate for the Bank’s position in meetings with representatives of the Federal Housing Finance Agency (“FHFA”); external auditors; members; and others; and in correspondence and memoranda in connection with the Bank’s business and operations.
- Review, draft and negotiate various Bank contracts with members, outside vendors and suppliers.
- Review, draft, and negotiate a variety of complex financial transaction documents relating to the Bank’s capital markets products, credit products, mortgage products, and secured lending arrangements. Provide advice regarding legal risks associated with such transactions.
- Conduct legal research and prepare memoranda, position papers, correspondence, presentations, or other materials summarizing and applying research and analysis to Bank issues.
- Plan and supervise projects and coordinate with internal and external stakeholders business, as appropriate.
- Participate in and, as appropriate, lead meetings and provide legal advice to standing committees of the Bank and other interdepartmental committees and task forces, as assigned, to ensure compliance with applicable laws, regulations, and policies and to protect the Bank from legal risks.
- Act as a liaison to the FHFA and the other System Banks in connection with significant legal and policy issues, including those respecting the Bank’s responsibilities and authorities as a government-sponsored enterprise.
- Actively participate and support other counsel in participating in work of the System counsel subcommittees and task forces on a variety of system issues, as needed.
- Provide legal advice and support regarding corporate governance matters, as needed, and draft memoranda, minutes and resolutions and make presentations, as appropriate, in connection with matters presented to or acted upon by Bank management or the Bank’s Board of Directors.
- Provide litigation support, including responding to subpoenas, assisting with discovery requests, and managing outside counsel, as needed.
- Proactively identify, assess and propose solutions to address the Bank’s legal risk in a range of circumstances. Assess standard Bank policies, procedures, processes and documentation for compliance with applicable laws and regulations and devise alternative approaches, as appropriate.
- Manage legal, para-professional and administrative employees, as assigned.
- Other responsibilities, as assigned.
Skills/Knowledge:
- J.D. degree from an accredited law school; current bar admission in any state and California admission as soon as possible.
- Minimum ten years of experience in a comparable attorney position, in a corporation, in a private firm or in government; with focus on financial institutions, regulatory, commercial, securities or corporate law strongly preferred.
- Broad general knowledge and understanding of corporate, banking, securities and financial markets laws.
- Excellent research skills.
- Excellent oral and written communications skills.
- Strong, demonstrated professional judgment in making and communicating legal advice, including the ability to make sound decisions and provide advice with incomplete information, when necessary.
- Excellent organizational, interpersonal, client relations and team skills, including the ability to build consensus on difficult legal and business issues.
- Ability to effectively prioritize and manage projects independently and lead projects to successful completion, often under tight time constraints and with little or no supervision.
- Demonstrated agility and nimbleness in responding to rapidly changing strategic and business objectives, job priorities, organizational structures, and individual workloads.
- Experience presenting to and advising senior corporate executives, government officials, and Boards of Directors.
- Familiarity with applicable software (e.g., Microsoft Office) and information retrieval systems and ability to carry out necessary clerical, administrative, and calendaring functions in support of own work.
SALARY RANGE: $290K - $310K
