An Iron Bow Contracts Manager must be a take-charge individual capable of working in a fast-paced environment, working independently and within a team, and multi-tasking effectively. The Contracts Manager must collaborate and effectively partner with the Director of Contracts, other department managers, department staff, as well as with Business Unit team members.

This Manager will be responsible for providing advice and guidance to sales professionals and other Contracts Department personnel by advising on complex contractual issues, developing and implementing contractual and commercial strategies, and facilitating the implementation of operational improvements. This individual oversees contract reviews and negotiations by Contracts Department team members and personally reviews and negotiates contract documents and correspondence as part of the establishment of contractual relationships, analysis of incoming bid requests, customer establishment, vendor setup process, and (with the Director of Contracts’ oversight and direction) assists in the implementation and compliance with Company standard policies and procedures (including contract terms and conditions).

The Contracts Manager also actively participates in negotiations with existing and prospective clients and vendors, service providers, and other third parties to establish legal and contractual guidelines for various contracts, opportunities, relationships, and corporate needs, as necessary and appropriate.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

Responsible for management and direction of contract actions for assigned Business Unit(s).

Negotiates the Company's contracts and subcontracts, and participates in all aspects of the procurement process for products and services in support of business development, proposal preparation, negotiation, and administration of contracts and subcontracts for government and commercial programs.

Manages and is actively involved in overall contractual support (review, drafting, issuing, negotiation, flow-down, and interpretation of a wide range of contractual documents and agreements including but not limited to: Terms and Conditions (Ts&Cs), Reseller Agreements (RAs), Teaming Agreements (TAs), Subcontract Agreements, Non-Disclosure Agreements (NDAs), Memorandum of Understandings (MOUs), Task Directives (TDs), Modifications, Business Associate Agreements (BAAs), etc.

The candidate will assist with corporate review and monitoring to ensure that company practices and procedures maintain compliance with Government contracts. Thought leader on specialized Business Unit regulatory and contractual topics for internal and external stakeholders.

Ensures alignment of transactions and documents to Iron Bow’s corporate standards, goals, and initiatives, or receipt of nonstandard approvals to deviate therefrom. Responds to ad hoc queries, including identification, analysis, and evaluation of risks and issues in order to provide appropriate and creative contractual and legally sound solutions. Assists with Contracts Department projects as assigned, including efforts to develop, implement, and enhance processes that improve transaction efficiency without material increases in risk. Participates in the preparation of solicitation responses as necessary and appropriate. Maintains relationships with Contracting Officers and Contracting Office personnel. Collaborates with internal departments effectively communicating and presenting information to company personnel and top-level management. Provides guidance and periodic training to the Iron Bow team on key issues/trends in the industry. Provides training, mentorship, and guidance to Contracts Department personnel.

Researches and interprets government regulations as they apply to the Company’s contract areas and advises project managers and other company personnel of contractual rights, responsibilities and obligations.

Implements and complies with all Company policies and procedures related to contracts and subcontracts and coordinates those processes with PM’s, Finance, and subcontractors.

Reviews contract documents and participate in negotiations with existing or prospective clients, vendors, and other third parties to establish legal and contractual guidelines for a wide range of contracts, opportunities, relationships and corporate needs, as necessary and appropriate.

Participates in special projects as required, and performs other duties as assigned.

Reliable and regular attendance is required

QUALIFICATIONS (SKILLS AND EXPERIENCE):

  • Demonstrates thorough general functional knowledge across a wide range of sub-disciplines within the individual’s specialty area(s) (e.g. prime contracts, subcontracts, risk management, contract terms and conditions, contracts management and administration, negotiations, etc.).
  • Experience with contractual aspects of financed and leasing transactions a plus.
  • Commercial related Contract Management experience highly preferred.
  • Strong communication, interpersonal skills, organization, and time management skills.
  • Solid problem-solving skills.
  • Self-driven, motivated, and results-oriented.
  • Strong knowledge of IT products and services.
  • Must be able to work independently on many different projects at one time and in a team environment.
  • Strong MS Office skills (Word, Excel, and PowerPoint) in using and developing documents, spreadsheets, and presentations are required.
  • Knowledge of contract reporting is strongly preferred.
  • Ability to thrive in a fast-paced environment.
  • Demonstrated ability to provide management, mentorship, and guidance to Contract Specialists and Contract Administrators.

EDUCATION & EXPERIENCE:

  • Bachelor's degree in Business Administration, or related field, desired. Juris Doctor is a plus.
  • CFCM or related certification a plus.
  • Experience with additional training in contract law is highly preferred.
  • 10 to 12 years of contract administration (commercial and government) experience.

TRAVEL REQUIREMENTS:

Travel required is <10%.
