JOB SUMMARY
In October of 2021, Schellman partnered with Lightyear Capital to invest in its growth and leadership in cybersecurity and compliance services. With this came a commitment to grow aggressively through organic and through mergers and acquisitions (M&A). In January of 2022, Schellman made its first acquisition emphasizing that M&A growth will be a key strategy going forward.
ROLE AND RESPONSIBILITIES
The Head of Mergers & Acquisitions will lead Schellman’s growth strategy for M&A. They will be responsible for collating information regarding risks and opportunities for impending and ongoing M&A activities, translating this information into fact-based and well-reasoned insights on the valuation and structural impact of the merger or acquisition.
The role will work closely with the executive team and Schellman Board to identity, qualify, and target potential M&A opportunities. This includes, but it not limited to, market analysis, pre-qualification, business and financial due diligence activities. The position will report to the Chief Growth Officer and work closely with the entire executive team, Schellman Board, and operations team.
Essential Functions:
  • Develop the overall strategy for M&A at Schellman including the creation of materials (i.e. pitch decks) for acquisition targets
  • Perform business and market analysis and due diligence to qualify potential M&A targets. This would include, but not be limited to, potential growth, risks, competitive landscape and market share
  • Approach and coordinate potential M&A targets with the CGO and CEO
  • Oversee financial due diligence with external CPA firms
  • Lead negotiations where appropriate with target firms
  • Work with operations teams for post acquisition implementation
Knowledge, Skills, and Abilities:
  • Experience in mergers and acquisitions, ideally with corporate finance background
  • Experience in cybersecurity, compliance, assurance, and/or technology
  • Strong financial modeling skills
  • Negotiation skills
  • Strong problem-solving ability, including metrics-driven thinking
  • Excellent time management, organizational, and verbal and written communication skills
  • Capable of simultaneously managing multiple projects
  • The ideal individual must possess a passion for research and analysis, being highly skilled in efficiently analyzing large data quantities and driving financial modeling and due diligence. They will be able to process raw information and data, translating this into actionable insights for informed decision-making within the department and on behalf of Schellman.
Education, Work Experience and Certifications:
  • Bachelor's degree in Accounting, Finance, Statistics, Engineering, technology or other relevant subject area, or equivalent years of experience directly related to the duties and responsibilities specified
  • Experience working in cybersecurity and/or compliance industries
  • 5+ years of experience in M&A and/or corporate finance
