Job Summary

Serves as Chief Legal Officer responsible for the oversight and management of all MSD legal initiatives, strategies, and affairs. Serves as counsel, advisor, representative, and transactions facilitator to the MSD Board, Executive Director, and senior management. Serves as director of the legal division and manager of outside legal resources. Serves as member of the Executive Management Team and Counsel/Secretary to the Floodplain Board.

Essential Job Functions

Provides advice to the MSD Board, Executive Director and/or senior management on a broad spectrum of legal issues/matters. Drafts, prepares, reviews, negotiates and/or approves a wide range of legal documents. Hires, leads and manages the legal and real estate department staff, including the assignment and monitoring of work, the development/implementation of goals, objectives, procedures, work standards, the evaluation/appraisal of performance, and staff development. Represents and/or oversees in-house attorneys in the representation/defense of MSD in litigation, pre-litigation claims, disputes, protests and administrative/governmental proceedings. Stays abreast of legal developments. Drafts and files comments on legislative or regulatory proposals affecting MSD's interests. Works to protect MSD by recommending and/or establishing risk and compliance standards. Oversees all MSD real property transactions including the acquisition, management and/or coordination of related and necessary professional services. Oversees MSD’s response to open records requests/other inquiries. Participates in the definition, development and administration of corporate policies and procedures. Serves on various internal committees. Attends MSD Board and Board Committee meetings. Provides input on staff recommendations. Serves as Board parliamentarian. Reviews Board packages/correspondence and assists in the preparation and approval of Board and Board Committee minutes. Develops and administers the legal division budget. Drives operational and cost efficiencies in the legal division. Oversees the procurement, management, and retention of outside attorneys/firms retained to provide litigation support and other services. Oversees the work of outside attorneys and other specialists in the performance of internal investigative services. Participates in the policy and business decision making and strategic planning for the agency as a member of the executive leadership team. Floodplain Board: Provides consultation and advice. Serves as Board’s representative in variance and enforcement appeals. Prepares and provides reports, exhibits and materials. Attends and oversees the scheduling and noticing of hearings. Prepares minutes and final determinations and maintains official corporate records. Reports to the Executive Director.

Knowledge, Skills and Abilities Necessary to the Work

Knowledge of civil litigation, contract law, real property law and public sector governance, public procurement and administrative procedures; knowledge of general management and supervisory techniques and principles; skill in interpreting federal, state, and local laws, rules and regulations and evaluating novel issues and/or matters; skill in oral and written communication; skill in negotiation; skill in the use of legal research programs; ability to analyze issues, formulate and evaluate alternatives and make sound, decisive recommendations; ability to interact with and instill confidence in Board members, senior management, employees and outside constituents; ability supervise a diverse workforce and delegate work effectively; ability to operate a PC and associated Windows environment software (i.e. Microsoft Office Suite).

Minimum Requirements

Bachelor Degree and Juris Doctor Degree required. Must be admitted to the Kentucky Bar Association and possess a current KBA membership in good standing; individuals licensed in another state must be eligible and admitted to practice law in Kentucky within six months of employment. Must have ten (10) or more years of full-time experience practicing law, with seven (7) or more years of public sector or public utility legal experience, and five (5) or more years of management experience. Experience with civil litigation, contract law, real property law, employment and labor law, public sector governance, and regulatory laws related to wastewater collection and treatment, storm water management and flood protection preferred. Must possess a valid driver’s license. Must have safe work and driving habits.
